Terms & Conditions

Effective date: September 27, 2026

These Terms & Conditions (the “Terms”) govern your use of wallstreetlogic.com, including its featured company pages and articles, and of the Wall Street Logic emails, including the weekly newsletter and any Company Spotlight or other dedicated emails (together, the “Service”). The Service is operated by Danayi Capital Corp., a company incorporated in British Columbia, Canada, 550 – 800 West Pender Street, Vancouver, British Columbia V6C 2V6 (“Danayi”, “we”, “us”).

By using the Service, or by subscribing to our emails, you agree to these Terms. If you do not agree, please do not use the Service.

1. Our Privacy Policy and Disclaimer

Our Privacy Policy forms part of these Terms and governs how we handle personal information and cookies.

Our Disclaimer contains important information about our investment content and paid advertising, and you should read it. The Disclaimer is provided for your information only and is not part of these Terms.

2. Paid advertising and conflicts of interest

  • Danayi is often paid by public companies (issuers), or by others acting for them, to prepare and distribute marketing about those companies. This includes featured company pages on this website and Company Spotlight or other dedicated emails. Payment may be in cash or in another form.
  • When we have been paid, that content is a paid advertisement. It is not independent research, impartial analysis or investment advice. Payment is a conflict of interest that can affect how we present a company.
  • Paid communications include their own disclosure, which you should read before relying on them. Our Disclaimer has more information about paid advertising.
  • The owner, managers or affiliates of Danayi may buy or sell securities of companies we cover, for their own account, including during and after a paid campaign.
  • Our weekly emails may also include advertisements or sponsored messages from third parties. We do not verify or endorse third-party advertising.

3. Not investment advice

  • The Service provides general information, commentary and advertising. Nothing on the Service is investment, legal, tax or accounting advice, or a recommendation to buy, sell or hold any security.
  • Danayi and its principals and agents are not registered or licensed by any securities regulator or other governing body, in any jurisdiction, to give investment advice or make investment recommendations.
  • Nothing on the Service is an offer or solicitation to buy or sell any security.
  • Nothing on the Service is a promise or guarantee of any investment return. Investing involves risk, including the loss of your entire investment. Small-cap and exploration-stage companies are especially risky. Past performance does not predict future results.
  • Some content contains forward-looking statements, such as plans, projections and expectations. Actual results may differ materially.
  • You are solely responsible for your investment decisions. Do your own research and consult a licensed adviser before you invest.

4. Information accuracy and no warranties

We prepare content with reasonable care, but much of it is based on information from issuers and other third parties that we have not independently verified. The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we make no warranties, express or implied, that any content is accurate, complete or current, or that the Service will be uninterrupted, secure or error-free. Content is current only as of its date, and we have no obligation to update it.

5. Limitation of liability

To the fullest extent permitted by law, Danayi and its owners, directors, officers, employees and contractors are not liable for any trading or investment losses, or for any indirect, incidental, special, consequential or punitive damages, arising from your use of, or reliance on, the Service. If we are nevertheless found liable to you, our total liability for all claims relating to the Service is limited to CAD $100. Nothing in these Terms limits any liability that cannot be limited under applicable law.

6. Newsletters

  • Our email subscriptions are free. By subscribing, you agree to receive the emails described when you sign up: the weekly Wall Street Logic newsletter and, from time to time, Company Spotlight or other dedicated emails about specific public companies. Company Spotlight and other dedicated emails are usually paid advertisements, and weekly issues may include paid or sponsored content (section 2).
  • Penny Stocks Now is a separate newsletter. You receive it only if you tick the optional Penny Stocks Now box when you subscribe. It has its own unsubscribe link (see section 5 of our Privacy Policy).
  • You can unsubscribe at any time with the unsubscribe link in any email, or by writing to Mehran@danayi.co. We process unsubscribe requests promptly, and in any case within 10 business days.
  • How we handle your email address and other personal information is described in our Privacy Policy.

7. Intellectual property

The content on the Service, including text, graphics, logos and the Wall Street Logic name, belongs to Danayi or its licensors. Other companies’ names, logos and materials belong to their owners. You may share links to our pages and quote brief excerpts with attribution to Wall Street Logic. You may not republish, sell, frame or systematically copy our content without our written permission.

8. Acceptable use

You must be at least 18 years old to subscribe to our emails. When you use the Service, you agree not to:

  • scrape, crawl or copy the Service with automated tools in a way that burdens our servers, or bypass any technical limits we put in place;
  • try to gain unauthorised access to the Service, our systems or other users’ information, or interfere with the Service’s operation or security;
  • submit false information, or someone else’s email address without their permission, in our forms;
  • use the Service for anything unlawful, including to manipulate the market for any security.

We may suspend or end your access to the Service, or remove you from our email lists, if you break these Terms.

9. Third-party links and services

The Service contains links to third-party websites and services, including issuers’ own websites and filings, and may display advertising from third parties. We do not control them and are not responsible for their content, products, privacy practices or availability. Your use of them is governed by their own terms.

10. Your messages to us

If you send us feedback or suggestions, we may use them without any obligation to you. Please do not send us confidential information.

11. Governing law and courts

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of British Columbia, sitting in Vancouver, have exclusive jurisdiction over any dispute relating to these Terms or the Service, unless the consumer-protection law of the place where you live gives you the right to bring a claim there.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new effective date. Material changes take effect 30 days after we post them; other changes take effect when posted. If you keep using the Service after changes take effect, you accept the updated Terms.

13. General

  • If any part of these Terms is found unenforceable, the rest remains in effect.
  • If we do not enforce a provision, we have not waived it.
  • These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service. They replace any earlier version of these Terms.
  • We may transfer our rights and obligations under these Terms to a successor to the Service.
